1. Introduction

Welcome to Sarthak. These Terms and Conditions ("Terms") govern your access to and use of the Sarthak platform, including our website, mobile applications, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.

2. Definitions

"Platform" refers to the Sarthak B2B marketplace and all associated services.

"User" refers to any individual or entity accessing the Platform, including manufacturers, dealers, and customers.

"Manufacturer" refers to businesses that list and sell products on the Platform.

"Dealer" refers to businesses that purchase products from manufacturers through the Platform.

3. Account Registration

To access certain features of the Platform, you must register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

4. User Conduct

When using the Platform, you agree not to:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights of others
  • Post false, misleading, or fraudulent content
  • Engage in any form of harassment or abusive behavior
  • Attempt to gain unauthorized access to the Platform
  • Interfere with or disrupt the Platform's operation
  • Use automated systems to access the Platform without permission

5. Product Listings

Manufacturers are responsible for the accuracy of their product listings, including descriptions, pricing, and availability. Sarthak does not guarantee the accuracy of product information and is not liable for any errors or omissions.

Manufacturers must ensure that all products comply with applicable laws and regulations. Prohibited items include counterfeit goods, illegal substances, and any products that violate intellectual property rights.

6. Orders and Payments

All orders placed through the Platform constitute an offer to purchase products. Acceptance of orders is at the discretion of the manufacturer.

Payment terms are established between dealers and manufacturers. Sarthak may facilitate payment processing but is not a party to the transaction between buyers and sellers.

Prices are subject to change without notice. The price charged will be the price in effect at the time the order is placed.

7. Shipping and Delivery

Shipping and delivery terms are established between manufacturers and dealers. Sarthak is not responsible for shipping delays, lost packages, or damaged goods during transit. Disputes regarding shipping should be resolved directly between the parties involved.

8. Returns and Refunds

Return and refund policies are set by individual manufacturers. Dealers should review the applicable return policy before placing an order. Sarthak may assist in facilitating returns but is not responsible for processing refunds.

9. Intellectual Property

All content on the Platform, including text, graphics, logos, and software, is the property of Sarthak or its licensors and is protected by intellectual property laws. You may not use, reproduce, or distribute any content without prior written permission.

10. Limitation of Liability

To the maximum extent permitted by law, Sarthak shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

Our total liability for any claims arising from these Terms or your use of the Platform shall not exceed the amount paid by you to Sarthak in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Sarthak, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Platform or violation of these Terms.

12. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Platform will immediately cease.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.
